THE PROPOSED CONCEPT

Meaning and interpreted by this organization specially to promote, to carry out and implement Charitable Humanitarian Developments Projects as a foundation and non profit organization that shall contributes the basic requirements for the Charitable Humanitarian Development Aids Programs as the supportive contribution for the progress of any country in a clean, orderly without the differentiation of race, creed, nation, country.

Consequently, taking into account variety of factors ranging from the genetic, the social ,the emotional, the natural and manmade environment, factors such as development objectives, strategies and economic relations ,the prevailing social structures, beliefs and value systems.

The main elements of the environment involved here are the natural which is the air we breathe, water we drink, food we eat, radiations we are exposed to and the man-made which is the habitat, place of work, means of transport, social and recreational facilities. These elements impact on human through physical and chemical agents which is radiation, chemical compounds and emissions of gases, liquids or solids and through pathogenic agents. The generic impact of these agents on human responsed in different fields and at different levels which is scientific, social, national, transnational, death of infants or children every year from diseases, largely resulted from contaminated food or water, people’s death from malaria, infected, suffer from debilitating intestinal parasitic infestations, illnesses linked to insufficient or contaminated water and lack of sanitation, contracting chronic respiratory disease and cancer resulted of indoor air pollution from open fires for cooking or heating , suffering from respiratory and other diseases caused or exacerbated by biological, chemical agents and of exposure to unnecessary chemical, physical hazards at home or in the work-place or the wider environment, injury in road accidents.

City dwellers are regularly exposed to levels of air pollution that exceed WHO guidelines and with the greenhouse effect, it could trigger new epidemics of tropical diseases in regions that are at present free of them, stratospheric ozone depletion is likely to lead to increases in skin cancer, cataract-related blindness and may damage the body's resistance to disease.

THE CHARITABLE HUMANITARIAN DEVELOPMENT PROJECTS CATEGORIES.

Meaning and understood to the charitable humanitarian development categories which is sub-divided into two categories as stated below factors for arbitration as stated below which is interpreted and defined as a state of complete physical, mental and social well-being and not merely the absence of disease or infirmity.

i. Prime Category :

The projects that doesn’t contribute any monetary profit or handsome profit but beneficial for the endeavours of this organization to assist any country to reduce the weighted burden, improvisation of the moral and discipline of individual, preservation of the chastity and purity of those services in creating good citizens.

ii. Secondary Category :

The projects that shall contribute profits which is beneficial for the endeavour of this organization to upkeep and supplement the costs of operation and implementation of projects for the projects in (i) apart from assisting any country to reduce the weighted burden.

THE PRIORITY CHARITABLE HUMANITARIAN DEVELOPMENT PROJECTS :

Reference strictly to the sensitiveness of this organization towards the priority charitable humanitarian development projects which are the basic requirements that can’t be put aside, avoided or denied based and referenced to the factors for arbitration as stated below;

i. Moral and Mental Health Uplifting Centers :

The purpose of this facilities is based on our acknowledgement that the combination of a high level of moral and mental discipline of every individual either as a political member, business member, head of department, employer, government servant or private employee and family member plays an important role in assisting the government of a country to reduce or eradicate the threats of power abuse, bribery, defamation, power madness, money madness and self centered in the aspect of psychological, mentally, and physically that had been seen as the hinderance for the economy development and prosperity of a country.

ii. Protection Centers :

The protection homes provided for the women, children and the senior citizen.

iii. Lower and Higher Academic Education Centers :

The fully equipped, international standard and modernized lower and higher educational centers which shall be free to all citizen based on the level of achievement of their moral and mental discipline level maintained.

iv. Fully Equipped Healthcare Centers :

The fully equipped and modernized healthcare centers for treatment, control and research with affordable or free services due to the factors stated below which are unavoidable as follows;

a. Infectious and Parasitic Diseases : Infectious and parasitic diseases which are still the leading cause of mortality in developing countries such as the commonest diseases which are water-related because eighty per cent of all illness are attributed to unsafe, inadequate water supplies and half the hospital beds are occupied by people with water-related illnesses. Diarrhoeal disease is the leading cause of infant and childhood deaths. Cholera, malaria, dracunculiasis (guinea worm) and other parasitic infections remain prevalent. despite eradication campaigns that have achieved some improvement. Those diseases that are the target of the expanded programs of immunization which is poliomyelitis, tetanus, measles, diphtheria, pertussis and tuberculosis are declining as vaccination coverage increase. HIV infection and AIDS are showing alarming increases.

b. Cancer : The various kinds of cancer exist in the developed and developing countries which are stomach cancer that is almost certainly related to dietary habits and changes in food preparation or preservation techniques and eighty to ninety percent of lung cancer and thirty percent of all cancer deaths are attributed to tobacco smoking.

c. Pollution : The relationships between environment and health has often focused on exposure to pollution, both at work and in the wider environment. There are some improvement in air quality in urban environments of developed countries, declining quality in the cities of the developing world and increased ozone levels in some rural areas. Many of the pollutants that caused concern which is sulphur dioxide, particulates, carbon monoxide, lead, mercury and organochlorine pesticides. Fertilizers and industrial effluents are still causes of serious concern. While pesticides still cause many deaths in the developing world ,solid wastes, particularly hazardous wastes, have become a serious health hazard both in developed and developing countries.

d. Mental Health : Apart from the genetic and societal, certain biochemical abnormalities are environmentally-induced and some could be inherited and the exposure to some heavy metals and synthetic compounds linked to brain tumours and abnormal behaviour such as the exposure to low doses of lead in childhood causes the long-term impairment in the functioning of the central nervous system.

e. Cooking Fuels : The implications on the health of rural farm-women which is aggravated by the fuelwood crisis which is wood, charcoal, other biomass fuels that are traditional in lower-income countries and situations. Women whom are usually responsible for fuel collection, preparation and use with the children helping their mothers with these tasks. Girls, take part in fuel preparation, cooking and tending the fire. The time and energy spent by women and children in collecting firewood means that less time and energy are available for household hygiene, income generation, education and schooling. Furthermore, foods that require longer cooking times may be omitted from the household diet as a fuel-conserving measure, thus further restricting an already limited choice of foods and increasing the risk of disease. The burning of both biomass and fossil fuels are major sources of air pollution within houses, especially those with open stove and inadequate ventilation. Women and children are exposed to the greatest risk because they spend long hours inside, preparing, cooking food and taking care of the house. The health effects of air pollution are respiratory, and range from acute infections particularly in children to chronic obstructive pulmonary disease in the girls and women.

f. Forests : The forests in developing countries often serve as food banks, especially for poor members of local communities. Numerous types of fruits, nuts, leaves, roots and shoots are periodically collected. Forests also harbour many types of mammals, reptiles, birds and insects which can be hunted and consumed, while lakes and rivers in forest areas contain fish and other aquatic animals. These are important sources of protein for many households whereby by selling them, many households earn significant amounts of much-needed supplementary cash income. Forests are the dominant source of household energy for cooking, heating, construction materials, animal fodder and traditional medicines. They are an important source of income and employment within rural areas. Forests also provide valuable and sometimes critical resources during hard times to fill in seasonal shortfalls of food, income as well as seasonally crucial agricultural inputs that help in reducing risks and lessening the impacts of drought and other emergencies. A high proportion of pharmaceutical products originates directly or indirectly from wild species. Apart from the increasing use of plants in the pharmaceutical industry, a much wider range of materials is used world-wide as traditional herbal remedies from wild habitats

g. Water resources : The water resources which is essential for human health, development, fresh and marine water yield food and irrigation is the key to agriculture in many regions. Access to safe drinking water and to sanitation are major contributors to general community health. Water also acts as a transport agent for many diseases and is the habitat for a number of disease vectors. Development of water resources has often involved altering water courses by the construction of dams which permit the extension of irrigated agriculture. These dams lead to the inundation of large areas of land , the displacement of many thousands of people to the implication of consequent settlement, the extensive areas of aquatic habitat created can also leading to an increase in health risks, irrigation schemes increase the extension of land under water providing more breeding sites for vectors and reducing the diversity of habitats that could favour one species of mosquito rather than another. In a terrain with a moderately fast-flowing river and a wet and a dry season, the favoured mosquito would be Anopheles Gambiae and malaria transmission would occur mainly during the wet season, if the river to be dammed, the streams draining into the man-made lake upstream of the dam would be slowed down and the surrounding land would be swampy, providing a suitable habitat for A. funestus that would replace the previous species. This new species breeds all year round and malaria, which was formerly a seasonal disease, becomes permanent. Similar changes in the incidence of diseases may occur in areas where different species of insect prevail due to environmental changes included increases in the rodent population of irrigated areas which is the cause of several viral and parasitic infections like relapsing fever, leptospirosis and leishmaniasi, losses in agricultural stocks, also caused an increase in bites, especially among children.

h. Agrochemicals : The agrochemicals had played an important part in increasing food production, contributed to human health and also proved to be harmful if not used properly. Pesticides cause most health concern and the main hazard being acute poisoning. Pesticides and other agro-chemicals can also affect human health because of their dispersion in the environment. Women and children are particularly vulnerable since they are the main food producers in many developing countries. The contamination of potable water supplies with pesticides and fertilizers may poison humans and livestock. Persistent chemicals like the organochlorines linger in soil and water for many years and may become concentrated in animals.

i. Food Poisoning : The food crops are often directly contaminated by pesticides and it has been estimated that ninety percent of human pesticide intake has occurred through the food chain. Aflatoxin contamination in food is a major hazard in warm humid countries where food storage facilities are inadequate and crops are often left in moist conditions before harvesting. Mycotoxins, in general, have been known to cause serious outbreaks of poisoning but their main significance may well be in long-term exposure to them. Combined with hepatitis B, they may be an important factor in primary cancer of the liver, one of the most common cancers in Asia, and Africa south of the Sahara. Aflatoxins produced by Aspergillus Flavus in cereals, peanuts and soya beans are by far the most serious threats to human health.

j. Industrialization : The release of harmful chemical, physical and biological agents are the main pathways of transmission to people are air, water, wastes and contaminated food. Cities in developing countries concentrate populations and industrial sites whereby this combination inevitably leads to higher levels of exposure of a greater number of people. The adverse effects of pollutants on health has been obtained in workplaces in developed countries. A number of industrial accidents pose the threat by the release of large quantities of toxic chemicals.

k. Waste : The many main centres of production and consumption, the urban areas generate large quantities of waste. Many major cities world-wide are facing a solid waste crisis as accessible landfills are filling up and rising transportation and processing costs make it harder and harder for services to keep up with the rapid growth of waste and only a small percentage of solid wastes are collected in cities in developing countries. Disease vectors proliferate on waste and in situations where human excreta are added to garbage, increasing health risks considerably. Dangerous situations are created when hazardous and/or contaminated material, such as clinical wastes and wastes from small chemical and metal processing factories within the city, are mixed with ordinary municipal solid waste, since it is normally collected and dumped at a disposal site without much attention being paid to its immediate and long-term environmental consequences. Immediate dangers are faced by waste pickers or scavengers who search for wastes of potential use, either directly or after recycling. These people, who are generally poor, living at or near the dump, plays an important role in some cities in recovering resources from the waste materials, and thus reducing the waste volume to be ultimately disposed of and depending upon these wastes for their basic needs. The waste found is used in diverse ways. It serves as building material for the shelter of the poor. plastics, tin cans, bottles, bones, feathers, intestines, hair, leather and textile scraps find their way into industries. Families engaged in waste-picking may earn as much as, or more than, an unskilled worker, but this is only achieved by most family members, including young children, working for very long hours. Studies of the health status of waste-pickers examined the prevalence of respiratory diseases, diarrhoea, viral hepatitis, intestinal parasites and skin disease.

l. The Working Environment : The working environment is that part of the human environment in which people spend their working hours every day. Its quality is conditioned by a combination of physical, psychological and socio-economic factors that fall into two main categories. Occupational safety deals with the physical, chemical and biological hazards and mental stresses present in the working environment, and their prevention and control. Working conditions include the organizational framework, length and distribution of working time, contents of work and human relationship whereby all factors have repercussions on the health and well-being of workers. Occupational hazards depend on the processes involved, the safety precautions taken and the ability to respond effectively to accidents. The main problem in developing countries is the almost complete absence of basic safety measures in the many small workshops. An example is the case of lead poisoning among household members who were exposed to lead-acid battery repair shops is the potential of environmental health hazards in the informal work sector, and the particular vulnerability of children to toxic chemical poisoning. The first point is of increasing importance given the fact that more and more governments are looking to the informal sector as a source of employment for the growing numbers of unemployed. The major difficulty posed by this sector is the virtual absence of any environmental control measures or standards.. Even though no accurate statistics on occupational diseases are available, the proliferation of new chemicals whose toxicity is still unknown means that it will be some time before research would reveal the full impact of exposure for long periods of time to what may at first have been considered inoffensive substances. Furthermore, the increasing use of radioactive materials and X-ray machines in industry increases the risks of exposures of increasing numbers of workers to ionizing radiation. Although noise is not restricted to the workplace, noise levels in factories are generally higher than elsewhere, because of the large number of moving parts and their concentration in a limited space. A great number of developed countries have now adopted noise-limiting standards that reduce both the physical and the psychological ill effects of excessive noise.

v. Cyber Libraries : The provision of a fully equipped, international standard and modernized in the faculties and academic education of the primary, secondary and higher education approved by the government, medical knowledge, medicinal knowledge, engineering knowledge, agricultural knowledge and latest invention and technologies from all over the world for the purpose to assist in contributing towards the establishment of primary, secondry and higher education or distant studies facilities whereby it shall assist students and individuals in research, reference and to upgrade their knowledge at all time.

THE SECONDARY CHARITABLE HUMANITARIAN DEVELOPMENT PROJECTS

Reference strictly to the sensitiveness of this organization towards the secondary charitable humanitarian development projects which are the basic requirements, can’t be put aside, avoided or denied based and reference to the factors for arbitration as stated below that shall contribute financially for the financing of the operation costs and implementation of projects.

i. Public Transportation System :

Does not contribute to air pollution and affordable by all citizen especially the poor.

ii. Public Telecommunication Services :

The affordable public telecommunication services which indirectly shall contribute to the success and beneficial from the aspect of cyber schooling and information technologies.

iii. Public Housing System :

The providing of homes that are comfortable and safe.

iv. Public Electricity Services :

The producing and providing cheap electricity without polluting the environment.

v. Public Water Supply Services :

The services of providing clean and cheap water without damaging the environment.

vi. Integrated Farming System :

The carrying out of integrated farming for the production of high quality and cheap food stuffs.

vii. Food Distribution :

Basic staple food such as rice, flour, milk, sugar and cooking oil at an affordable price.

THE CONCEPT FOR THE SUCCESS OF IMPLEMENTATION :

The concept that is made permanent and duteous for the success of implementation of the charitable humanitarian development projects being harmonious, chaste and everlasting which shall not be shackled with problems of ownership, debt repayment or manipulation for the interest of certain parties at all time, fully owned by the people and shall stay as the nation treasure. No amendment or alteration shall be made to this concept for it shall imbalance the operation, function and the actual purpose of implementation of the charitable humanitarian development projects. The illustration of the concept is as stated in the following sections;

IMPLEMENTATION PROCEDURE :

The implementation procedure that shall be made permanent with the combination of two (2) elements which is this organization and any security provider/s through a joint venture agreement to implement and carry out the charitable humanitarian development aids projects. The combination of components as stated below known as the Global Orientated Pojects Investments Joint Humanitarian Aids Necessitating Associates or known in abbreviation as “GOPIJHANA” for the purpose of distribution of duties according to their expertise.

a. This Organization :

This Organization that shall fully owned without a time frame, the respective projects in the charitable humanitarian development projects categories that is offered, with the blessing directly by the central government, all relevant approvals and related licenses from the central government shall be in the name of this Organization for the purpose of charity and beneficials to all citizens without the differential of race, nation or their religious faith. This Organization shall practice the procedures of non-profit taking or enrichment but shall held in firmness to surrender all properties and assets gained to the citizen upon affirmation that ninety eight percent of the citizens are the members of this organization as the declaration of trust setforth by this organization because those projects are for the benefits for the citizen of this country, owned by the citizens and not of any individual or business entities whom shall manipulate for self interest that shall causes or hinder the receiving of services implemented cheaply, efficiently and of highest quality by the citizens.

b. The Consultant :

Represented by the officially appointed individuals for and behalf of this Organization as Consultant, trustee of all properties and the mandate holders for the implementation of the charitable humanitarian development projects. It’s for the representation for betterment for this Organization , the investors and as the obligation for and on behalf of this Organization to prospect, consultation, background investigation of the investor, funds, providing sufficient funds for projects implementation whenever required, providing infrastructures, projects and revenues managements, repayments of debts and reinvestments of unused funds. They shall be the exclusive officials appointment of this organization and no other appointments shall pursue as long as in operation in accordance to the letter of appointment that shall be exhibited in the Organization office to be seen by all the members of this Organization and assisted strictly under their supervision by their appointed associates referred to as subordinate consultant in accordance to their letter of Appointment.

This process is to ensure that this Organization shall maintain it functions strictly as an organization for charity, non-profit taking and its members shall not be involved in the management unless otherwise as paid staffs or employees. They shall carryout their responsibility as members strictly and restricted of charting out the requirements of projects that shall assist to contribute towards charitable humanitarian development. Apart from that, it shall avoid of any misappropriation of monetary, abusive of management, power and manipulation for self interest by any members or the central committee members on a long run.

c. Associates :

Collectively to the representation of the intermediaries either individually or by corporation, Offshore Entities, Financial Consultants, Fund managers, Asset Managers or other professional financial participating in collaboration to generate, to enhance, to make available, to maintain, to manage , to disburse, to collect payment in the utmost professional manner. This is because their contribution can’t be put aside in assisting for successful of all motives and the endeavor of this organization whereby they shall always contribute their expertise in different fields for one motive which is charity.

ii. The Second Element :

The Projects Financing Security Provider or in abbreviation as “PFSP” whom are desirous to contribute or pledge for the endeavours of this organization concepts that is acknowledged and considered by this organization through their letter of offer for a joint venture to this Organization inline with the illustration stated below;

a. Cash Deposit : The large sum of legal dormant cash deposited in any banks governed by ICC500/600 worldwide that had accepted the cash transfer and deposited in the name or code number of an individual or corporation of any country given the Full Power of Attorney to this organization strictly for financing the charitable humanitarian development projects implemented by this organization that shall assist the citizen of this or any country in the world to upgrade the standard of living that shall contribute toward the harmony of the communities, nation, country and the world in general. b. Bank Instruments :

Bank guarantees from prime European banks that shall be fixed the actual amount for investment upon discounting for it can be used as a guarantee of payments to the contractors whom shall be constructing the projects infrastructures

c. Technology Transfer :

The latest and sophisticated technological transfer by building, operating and providing the services in accordance to the programs of this organization whereby this organization shall provide the guarantee for its investment. This procedure shall guarantee the quality of equipments and services given are of the best as well as enabling the investor to ensure that they do not encounter losses or problems. Apart from that it shall help their organization on a long run from the aspect of revenue, marketing and guaranteed job opportunities for the nation as well as ensuring that this country do not become the dumping ground for backdated equipments and technologies by non responsible parties and the nation gets the opportunities to be inline with other nation around the world in terms of technologies and knowledge.

COLLABORATIVE PROCEDURE :

Tthe usage of English language is for the purpose of making the stated agreement binding documentation as required internationally and for arbitration in recognized international courts if requirement arises.

COMPANY FORMATION :

The formation of the company through the joint venture agreement that shall be represented by the shareholders which is this organization, the Consultant, the Associates and the Security Provider to collaborate in implementation and carrying out the charitable humanitarian development aids projects for the purpose of management of the charitable humanitarian development projects and programs.

PERCENTAGE OF EQUITY, CAPITAL AND REVENUE PRIVILEGES :

The revenue privileges, respective shares in any losses and/or liabilities, interests in all property, equipment acquired and all money received in connection with the performance of the charitable humanitarian development projects and programs for the smooth flow of implementation and operations of the charitable humanitarian development projects with harmony and beneficial to all parties involved as illustrated below;

3. The Security Provider : 1%.
4. The Associates : 1%.

d. Revenue Privileges Disbursement :

1. The Consultant : 1%.
2. Yayasan Sri Krishna Pulau Pinang : 62%.
3. The Security Provider : 10%.
4. The Associates : 1%
5 The National Treasury : 10%.
6 The Human Resources : 5%.
7 The Male Members & Their Children : 5%.
8. The Female & Disable Members : 5%.
9. The Facilities Managements : 1%.

INITIAL CONTRIBUTION :

The Security Provider shall contribute by the issuance of the financing security acceptable and totally in favor of and in the name of this organization which shall be the obligation of this organization which shall be made available whereby it shall be credited as an advances with the appropriate value in accordance for the company requirements for financing the undertaken charitable humanitarian development projects and the shareholders shall not be required to make any further capital contributions to the Company for the Security Provider shall contribute one hundred percent of the capital required and the other shareholders shall contribute by management and administration.

CLASSIFICATION OF SHARES :

The allocated shares that shall be classified in accordance to the herein under category ;

i. Class “A” :

The ordinary shares issued to the shareholders under Share1- the Consultant, Share3-the Security Provider and Share4-the Associates that allows the Shareholder to transfer, give, convey, sell, pledge, bequeath, donate, assign, encumber or otherwise dispose of any shares. The Security Provider share shall be brought over by this organization for it has the first priority or shall be absorbed into share2 when the Security Provider pulls out or completed the agreed term but the shares of the Consultant and the Associates, for they shall be always there especially for management and administration until the existence of this Organization.

ii. Class “B “:

The ordinary shares issued under Share2 to this Organization as a fully subscribed shares held in trust by the Consultant of its equity held in the company. The revenue privileges received on this shares will be strictly for utilization for payment of any part of the principal advances amount due to the KRISHNA or it heirs and that disallows the shareholder to transfer, give, convey, sell, assign, encumber or otherwise dispose of any Shares at all times or in the event of dissolution of this organization , the shares shall be returned and assigned to the company to reorganize, re-register a fresh organization strictly in accordance to the existing proposed By-Law and concepts and carryout the continuity of charitable humanitarian development programs unless otherwise upon confirmatory of ninety eight percent of the citizens of this country are members of this Organization in accordance to the governmental statistic carried out or upon full settlement of all Notes of indebtedness of the organization to the Trustee whichever precede. This is to ensure the carrying out of the charitable humanitarian development programs is guaranteed even though there are members whose minds are poisoned or instigated by those people with hidden intention to take control of all assets and projects handled by this Organization by dissolution of this organization whereby the assets shall be divided among the members, they shall realize that there is nothing to claim for as entitlements but the requirements of payment of all indebtness in the indebtness notes held by the trustees prior to setting claims on any assets. Apart from that , when ninety eight percent of the members are the citizen of this country means that the system of administration and all the assets shall be wholly owned by this Organization and those indebtness notes automatically shall be invalid. Reference to these two facts, the members are able to choose what they actually require.

THE MAIN OBLIGATIONS AND COVENANTS OF FORMATION :

The main obligations and covenants that shall be held in firmness by all parties in these joint venture for the purpose of successful
implementation of the charitable humanitarian development projects and maintaining of the programs in harmony and beneficial to all parties involved as illustrated below;

i. The Security Provider :

The main obligations and covenants that shall be held in firmness by the Security Provider as the following;

a. Financing Security : Contemporaneously execute and deliver in the name of this organization upon execution of the joint venture agreement, the power of attorney and the copies of the supporting documents acceptable by this organization as the financing security to liquidate its assets which may consist of top European bank guarantees, cash deposits and any bank instrument/s which are without liens, encumbrances, freely transferable and assignable, legal trading commodities or contracts.

b. Management Bank Account : Upon confirmation, acceptance and successful liquidation, the funds shall be credited progressively into KRISHNA whereby KRISHNA shall advance progressively into the bank account of the company as when the advances is required which shall be evidenced by the Notes.

c. Perversion of Revenue Privileges Utilization : The Security Provider shall loose the rights to the revenue privileges whereby the revenue privileges shall be contributed to the National Treasury if found to have utilize any part of the revenue privileges to finance any political uprising, anti governmental movements, terrorism, racialism or any illegal activities that had been proven by the government which shall cause or create disharmony to the nation. The Security Provider shall accepts without the protest of a monthly maintenance not exceeding United States Dollar Ten Thousand and all necessities.

d. Operating Licenses: All licenses issued shall be solely in the name of this Organization.

e. Title of Property, Equipments and Assets : All titles of properties, equipment and assets shall be registered solely in the name of this Organization and shall be held in trust by the Consultants as the trustee.

f. Claims on Indebtness : Never to set claims on any Note/s issued by this organization preceding the mutually agreed financing term or not preceding Ten years from the date of existence of funds in KRISHNA.

g. Ceasation of Rights : Immediately cease to hold any equity, the authorized signatory in KRISHNA or the monthly maintenance and all necessities as per (c) and the Share3 surrendered to the company upon the receipt of the Full Faced Valued Amount in the form of 25 Top European Bank Guarantee/s or in any currencies as per the standard exchange bank rate upon maturity of the mutually agreed term of financing or preceding Ten years from the date of existence of funds in KRISHNA.

h. Obedience : Abide with any regulation or instructions given as necessary in assistance to make available of the financing security to become in full favor of the Company.

ii. The Consultant :

The main obligations and covenants that shall be held in firmness by the Consultant are as the following;

a. Registration of Company : Responsible to undertake to do all the necessary registration of the company in accordance to the prevailing laws of that country.

b. Physical Guarantee of Financing Repayment : The excess revenue privileges from this Organization’s share shall be given the priority to be utilized for conversion by the Consultant into the “Global Orientated Valuation Instruments Neutralizing Depreciation Humanitarian Assets “ hereinafter referred to as GOVINDHA which are Gold (AU), Platinum (PT), Top 25 Prime European bank Guarantee/s, Government Bonds any instruments that guarantee the appreciation of its value in the name of this Organization for the beneficial of the citizen and kept in trust in the Central Bank for safekeeping as a repayment guarantee and backing the Note/s issued.

iii. The Organization :

The main obligations and covenants that shall be held in firmness by this Organization are as the following;

a. Guarantee of Full Financing Amount : Take all necessary steps and shall cause to provide the Consultants a Promissory Note that which shall be free from all encumbrances, assignable, transferable and cashable as when and where applicable by any prevailing law for the amount equivalents to the aggregated principal amount upon receipt of the full aggregated advances.

b. Guarantee upon Projects Commissioning : Take all necessary steps and shall cause to provide the Consultants a Promissory Note that which shall be free from all encumbrances, assignable, transferable and cashable as when and where applicable by any prevailing law for the amount equivalents to the aggregated total cost of construction of each infrastructure upon completion of each project.

c. Guarantee the Operational Indebtness : Take all necessary steps and shall cause to provide the Consultants a Promissory Note that which shall be free from all encumbrances, assignable, transferable and cashable as when and where applicable by any prevailing law for the amount equivalents to any shortfall of the monthly operational cost of all the Charitable Humanitarian Development Programs.

RESPONSIBILITY FOR THE MONTHLY PROGRAMS MAINTENANCE COSTS :

The irrevocably covenant and agreed that this Organization shall be fully responsible to all costs of maintenances of the programs that shall be made payable solely by this Organization revenue which is strictly the membership fees approved in the laws of this Organization.

INTEREST :

The interest that shall be computed on the basis of three hundred and sixty (360)-day years of twelve (12) thirty (30)-day months payable on the unpaid principal amount of the notes issued at the rate of zero decimal zero zero one percent (0.001%) per annum, accruing from one (1)year one(1) day upon maturity of each note issued prior to the final disbursement; collectively commencing any of the nearest stated date after the final disbursement period due on 30th of March, 30th of June, 30th of September and the 30th of December of each year and if the company default in any payment of principal of and/or interest on any note, the Company shall pay interest on such unpaid amount in lieu of the interest rate referred at the rate of zero decimal zero zero zero five percent (0.0005%) per annum (to the extent permitted by applicable law) on the last day of each month succeeding such due date and on the date when such defaulted amount is paid in full.

REPAYMENT PROCEDURE :

The repayment of a fixed amount of one percent (1%) per annum of the aggregated principal loan amount and the agreed interest rate on the outstanding amount prior to the repayment date in a quarterly installments due on the 30th March, 30th June, 30th September and on the 30th December of each year commencing with the first such date to occur on or immediately following the date after the receipt of the aggregated principal amount in whole and may prepay any part of the advances at any time in the inverse order of its maturity expressed in percentages of the principal amount so prepaid. All payments required shall be made in local currency without any offset or deduction for taxes.

REVENUE PRIVILEGES :

The balance of the total gross revenue held in the joint venture company’s main account earned through the programs that generates income in a month or as from the 1st of the month to the 1st of the following month.

DISBURSEMENT OF THE REVENUE PRIVILEGES :

The disbursement of the total gross revenue as the revenue privileges to the parties involved in the joint venture in accordance to Section 5.07 which is based as illustrated below;

i. The Consultant . The payment of One Percent (1%) every month as the fee for the operational management of this organization and the programs that had been mandated and entrusted as the consultants does not receive any wages or allowances and the revenues earned from the programs shall decide the level and quality of services based on their capabilities and expertise of their management procedures.

ii. The Organization. The payment of Seventy Eight percent (78%) every month as the repayment for all the indebtness notes that is given by this organization whereby the funds shall be converted into assets by the Consultants as the guarantee to the security provider as per Section 5.10 B(ii).

iii. Security Provider. The payment of Ten percent (10%) every month as a consolation for the partnership in joint venture whereby that funds may be used by the security provider to reinvest or request for exchange for commodities that is required for the payment of the consolation is as partnership in joint venture, trust and for the investment in the endeavours for charity and the revenue privileges is encouraged to be used for reinvestment or exchanged for commodities that is required is to serve the purpose of economy growth internally and reduce the flowing out of the currency whereby the funds can be utilized internally.

iv. The Associates. The payment of One Percent (1%) every month as the fee for the assisting in the operational management of this organization and the programs that had been mandated and entrusted to this organization. Apart from that, the associates shall not be receiving any wages or allowances as the directors in the joint venture company and the revenues earned from the programs shall decide the level and quality of services based on their capabilities and expertise of their assistance in management procedures.

vi. Contribution to the National Treasury. The payment of Ten Percent (10%) every month as a contribution and performance of responsibilities and contribution in assistance to patch the nation administrative expenditures. Apart from that, this contribution also indirectly serves as the performance of duties as the responsible citizen by the members of this organization whom desires to see the growth and prosperity of that country. Though with the exemption from taxation but the contribution shall be regarded as the duteousness and responsibilities which required to be performed in assistance to the nation leader for the developments and administration of the country.

TAXES :

The responsibilities of payment of taxes that is required or shall be payable in accordance to the prevailing law as stated below;

i. Financing Loan :

All sums payable whether of principal and interest shall be paid in full, free of any deductions or withholdings for any and all present and future taxes. In the event that this organization is prohibited by law, then this organization shall pay such additional amount as may be necessary in order that the actual amount received by KRISHNA after deduction or withholding shall equal the full amount stated to be payable under the notes.

ii. Revenue Privileges :

The payment of taxes are required for revenue privileges of the consultants, security provider and associates. Its shall be the responsibility of the company to ensure that the taxes are paid every month prior to disbursement.

DELEGATION OF AUTHORITY :

The Consultant shall be the administrative managing partner and the project managing partners responsible for all bookkeeping, payroll of the company and in charge of the project work and the company shall appoint the General Manager through whom it shall direct charge and supervision of all matters necessary and connected with the performance of the charitable humanitarian development projects and programs.

DIRECTORS ALLOWANCES :

The shall strictly be no allocation of the directors allowances but however all expenses of traveling, transportation and lodging, officially concerning with the implementation and operation shall be absorbed under the maintenance costs whereby it shall be restricted to the Managing Director, Administrative Director and the Financial Director.

MANPOWER:

Priority shall be given to the members of this Organization, ex-armed forces personnel, reform convicts and drug addicts and if in the event that there are no qualified members, the company may employ non members as temporary contractual workers but they shall have the characteristics that is required. The preference of priority is given to members because they are binded by the laws of this organization whereby indirectly their quality of work and discipline are of high standard that shall boost the implementation of all the programs of this organization for they are a part of the programs and shall bring benefits to the country in general.

PAY SCALE:

The pay scale for all employee shall be permanence according to the pay scale recommended by the Public Services Department of the respective country to ensure no causes of migration or shortage of civil servant personnel caused by the attractive pay received in the private sectors as done by certain non responsible parties.

THE REGISTERED NAME

Meaning and interpreted to the names that shall be registered, abbreviated and translated as mentioned below which shall be the recognition of this Organization shall be as follows;

REGISTERED NAME :

The  name of registration by the Registrar of Soceity shall be;

A.  The Foundation :  It shall be that had been registered and approved by the Registrar of Society of Malaysia on the 31st January 2001 in Malaysia, registration number 148 as the YAYASAN SRI KRISHNA PULAU PINANG which shall be the permanent name as long as this organization is functioning and operational in all its correspondences and official affairs, meaning and defined as the following;

i.  YAYASAN :

The identity to this organization as a foundation for the benefit of all human beings without the differential of race, creed or nation.

ii.  SRI :

The abbreviation for “Self Realization Institution (SRI)” meaning to nurture the realization of self in acknowledgement of the true constitution of their Soul prior in performance of the charitable deeds.

iii.  KRISHNA :  

The abbreviation for “Kindred Rejuvenation International Supportive Humanitarian Necessitated Amalgamation (KRISHNA)” meaning that all human beings are relatively interconnected and to nurture that respective assets without the differential of race, creed or nation.

iv.  PULAU PINANG :

The state in Malaysia which it was initiated and originated.

MENTIONED/REFERRED/ABBREVIATED NAME :

The following mentioned, referred ,abbreviated names in verbal or written shall carry the similarity ,directed and related to this organization which is; YSKPP, Yayasan Sri Krishna, YSK, Sri Krishna Pulau Pinang Foundation or The Sri Krishna Foundation.  Its to avoid and ensure that no irresponsible parties shall misuse the names to deceive, cheat or manipulate for solicitation of funds, donations and carryout any sort of illegal activities that is against any International Law or any Humanitarian Charities activities organized by this organization without the prior written approval from this organization that shall have the approval and blessing of the Malaysian government where this organization shall carryout its Humanitarian Charitable Programs.
